1. Acceptance of Terms
By downloading, installing, accessing, or using the ISC Driver Mobile application (the "App"), provided by International Shipping Compliance, S.A. ("ISC," "we," "our," or "us"), you agree to be bound by these Terms of Use ("Terms"). If you do not agree to these Terms, you may not use the App.
⚠️ IMPORTANT: This App collects biometric data (facial recognition) and tracks your location in the background. Please read Sections 4.2 and 4.3 carefully before using the App.
2. Description of Service
ISC Driver Mobile is a mobile application designed for transportation and logistics professionals to:

Authenticate using facial recognition technology

Track and manage transportation journeys

Capture and store evidence documentation (photographs)

Monitor location data during active journeys

Communicate journey status and updates
3. Eligibility and Account Requirements
3.1 Age Requirements
You must be at least 18 years of age to use this App. By using the App, you represent and warrant that you are at least 18 years old and have the legal capacity to enter into these Terms.
3.2 Authorized Use
This App is intended for use by authorized drivers, transportation professionals, and logistics personnel who have been granted access by their employer or an authorized entity. You agree to use the App only for its intended business purposes and strictly in accordance with these Terms.
3.3 Account Security
You are responsible for maintaining the confidentiality of your account credentials and for all activities that occur under your account. You agree to:

Not share your account credentials with others

Immediately notify us of any unauthorized use of your account

Use appropriate security measures to protect your device

Not create multiple accounts or fake accounts
4. Permissions and Data Collection
4.1 Required Permissions
The App requires the following permissions to function:
Camera Permission: Required for facial recognition authentication and evidence capture. The App will access your device’s camera to:

Capture facial images for authentication purposes

Take photographs for journey evidence documentation
Location Permission: Required for journey tracking functionality. The App will access your device’s location data to:

Track your location during active journeys
-
Provide real-time location updates
-
Continue tracking in the background when the App is not actively in use
Audio Permission: Required for camera functionality on certain devices.
4.2 Biometric Data Collection
⚠️ BIOMETRIC DATA NOTICE ⚠️ This App collects biometric identifiers, specifically your facial geometry, for the purpose of authentication. Biometric data is sensitive personal information and is subject to special legal protections in certain jurisdictions.
Biometric Data Collection:

Facial images are captured at login for identity verification purposes

Biometric templates (facial geometry) are derived from captured images and stored securely

Raw facial images are not retained after the biometric template is generated

Retention and Deletion:

Biometric data is retained for the duration of your active account

Biometric data is permanently deleted within of account deletion or termination

Refusal to provide biometric data will prevent use of the App, as facial recognition is required for authentication
4.3 Location Data Collection
⚠️ BACKGROUND LOCATION TRACKING NOTICE ⚠️ This app collects location data to enable journey tracking, even when the app is closed or not in use. This is necessary for: continuous journey monitoring during active trips; real-time location updates to authorized parties (your employer, clients); accurate journey documentation and route verification; safety and security monitoring.
Location Data Collection:

Begins when you start a journey in the app

Continues until you manually end the journey
-
Operates in the background even when your screen is off or you’re using other apps
-
Is shared in real-time with your employer and authorized clients
-
Is retained in the app only until network connection is established
-
Uses GPS, Wi-Fi, cellular networks, and other location technologies
Uninstalling the app will immediately remove all locally stored location data if any.
Frequency of Collection:

Location is collected every during active journeys, depending on whether the app is in the foreground or background
-
More frequent collection may occur during navigation or in areas with poor signal
To Stop Location Tracking:

End your active journey in the app
-
Disable location permissions in your device settings (this will prevent journey tracking functionality)

Log out of the app
-
Uninstall the app
Data Sharing: Your location data is shared with:

Your employer or authorized entity (real-time and historical data)
-
Clients designated by your employer for specific journeys
4.4 User-Generated Content
The App allows you to capture and upload photographs as evidence documentation. By uploading content, you:

Retain ownership of your content
-
Grant us a worldwide, royalty-free, non-exclusive license to use, store, process, and display your content for the purposes of providing the service, including to share such content with authorized third parties

Represent and warrant that you have the right to upload such content
-
Understand that content may be shared with authorized parties (e.g., your employer, clients, regulatory authorities)
-
Agree not to upload content that violates these Terms or applicable laws
Content Restrictions: You agree NOT to upload content that:

Is illegal, harmful, threatening, abusive, harassing, or defamatory
-
Contains nudity, sexual content, or pornography
-
Depicts violence or graphic content
-
Infringes on intellectual property rights or privacy rights
-
Contains malware, viruses, or other harmful code
-
Violates any applicable laws or regulations
-
Contains personal information of third parties
-
Is misleading, fraudulent, or deceptive
5. User Conduct and Prohibited Activities
You agree NOT to:
5.1 Unauthorized Access

Attempt to gain unauthorized access to the App, servers, or networks

Use the App for any illegal or unauthorized purpose
-
Violate any laws in your jurisdiction while using the App
-
Bypass or circumvent security features or access controls
5.2 Misuse of Service

Impersonate any person or entity
-
Create fake accounts or provide false information
-
Interfere with or disrupt the App, servers, or other users’ experience
-
Use automated systems, bots, or scripts to access the App without authorization
-
Reverse engineer, decompile, or disassemble the App
-
Remove or alter any proprietary notices or labels
-
Use the App in any way that could damage, disable, or impair the service
5.3 Fraudulent Activity

Provide false or misleading information
-
Use the App to commit fraud or engage in deceptive practices

Manipulate location data or journey information
-
Falsify evidence documentation or photographs
-
Engage in phishing or other social engineering attacks
5.4 Harmful Content

Upload content containing malware, viruses, or other harmful code
-
Upload content that promotes violence, terrorism, or illegal activities
-
Upload content that harasses, bullies, or threatens others
-
Upload spam or unsolicited commercial content
6. Intellectual Property Rights
6.1 App Ownership
You acknowledge that, as between you and us, we and our third party providers own all right, title, and interest, including all intellectual property rights, in and to the App, and including any improvements, modifications, enhancements or derivatives thereof. Certain components of the App are owned by or licensed from third-party providers, and such providers retain all right, title, and interest in their respective intellectual property.
6.2 Limited License
Subject to your compliance with these Terms, we grant you a limited, non-exclusive, non-transferable, revocable license to:

Download and install the App on your personal device

Use the App strictly for its intended business purposes as an authorized user
This license does NOT include the right to:

Copy, modify, distribute, or create derivative works of the App

Redistribute, sublicense, sell, or transfer the App

Use the App for commercial purposes beyond its intended use

Extract or reuse any portion of the App’s code or content
-
Use the App’s name, logo, or trademarks without permission
6.3 User Content License
You retain ownership of content you upload. By uploading content to the App, you grant us a worldwide, royalty-free, non-exclusive, transferable, sublicensable license to use, reproduce, modify, adapt, publish, translate, create derivative works from, distribute, and display your content solely for the purpose of:

Providing and improving the service

Sharing with authorized parties (your employer, clients)

Complying with legal obligations

Enforcing these Terms
6.4 Feedback
If you provide us with feedback, suggestions, recommended changes or ideas about the App, in whatever medium, and including without limitation, new features or functionality relating thereto, or any comments, questions, suggestions, or the like ("Feedback"), we are free to use such Feedback irrespective of any other obligation or limitation between the parties governing such Feedback. You hereby assign to us all right, title, and interest in, and we are free to use, without any attribution or compensation to you, any ideas, know-how, concepts, techniques, or other intellectual property rights contained in the Feedback, for any purpose whatsoever.
7. Privacy and Data Protection
7.1 Privacy Policy
Your use of the App is governed by our Privacy Policy, which explains in detail how we collect, use, protect, and share your information.

We implement reasonable administrative, technical, and physical security measures to protect your data, including:

8. Third-Party Services and SDKs

9. Disclaimers and Limitations of Liability
9.1 Service Availability
THE APP IS PROVIDED "AS IS" AND "AS AVAILABLE" WITHOUT WARRANTIES OF ANY KIND, EITHER EXPRESS OR IMPLIED, INCLUDING BUT NOT LIMITED TO IMPLIED WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, TITLE, AND NON-INFRINGEMENT.
9.2 Limitation of Liability
TO THE MAXIMUM EXTENT PERMITTED BY APPLICABLE LAW, IN NO EVENT SHALL ISC, ITS AFFILIATES, OFFICERS, DIRECTORS, EMPLOYEES, AGENTS, OR LICENSORS BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, PUNITIVE, OR EXEMPLARY DAMAGES.
9.3 Maximum Liability
OUR TOTAL LIABILITY FOR ANY CLAIMS ARISING FROM OR RELATED TO THE APP SHALL NOT EXCEED THE GREATER OF THE AMOUNT YOU PAID IN THE TWELVE (12) MONTHS PRECEDING THE CLAIM, OR $100 USD. THE FOREGOING LIMITATION DOES NOT APPLY TO THE EXTENT PROHIBITED BY APPLICABLE LAW, INCLUDING WITHOUT LIMITATION ANY STATUTORY DAMAGES AVAILABLE UNDER THE ILLINOIS BIOMETRIC INFORMATION PRIVACY ACT (740 ILCS 14/) OR OTHER APPLICABLE BIOMETRIC PRIVACY STATUTES. The limitations of liability and disclaimers set forth in this Section shall also apply to ISC’s third-party technology providers, including the Technology Partner, BigBear.ai LLC, who are intended third-party beneficiaries of this Section 9.
10. Indemnification
You agree to indemnify, defend, and hold harmless ISC, its technology providers (including the Technology Partner, BigBear.ai LLC), its parent company, affiliates, subsidiaries, officers, directors, employees, agents, licensors, and service providers from and against any and all claims, damages, losses, liabilities, costs, and expenses arising from or related to:

Your use or misuse of the App

Your violation of these Terms

Your violation of any applicable laws or regulations

Your violation of any third-party rights

Content you upload, transmit, or make available through the App

Your negligence or willful misconduct
11. Termination
11.1 Termination by You
You may stop using the App at any time by:

Uninstalling it from your device
-
Deleting your account through the account deletion process

Contacting us to request account termination
11.2 Termination by Us
We may suspend or terminate your access to the App immediately, with or without notice, for any reason, including but not limited to violation of these Terms, fraudulent activity, or technical/security reasons.
12. Updates and Modifications
12.1 App Updates
We may update, modify, or discontinue the App or any features at any time, with or without notice.
12.2 Terms Updates
We reserve the right to modify these Terms at any time. Material changes will become effective 30 days after notice is provided.
13. Compliance with Laws and Regulations
13.1 Your Compliance
You agree to comply with all applicable federal, state, local, and international laws and regulations while using the App, including but not limited to:

Data protection and privacy laws (GDPR, CCPA, BIPA, etc.)

Employment and labor laws
-
Transportation and logistics regulations (FMCSA, DOT, etc.)

Laws regarding biometric data collection and use
-
Export control and sanctions laws
14. Dispute Resolution
14.1 Governing Law
These Terms shall be governed by and construed in accordance with the laws of the Republic of Panama, without regard to its conflict of law provisions.
14.2 Informal Dispute Resolution
Before filing a claim, you agree to try to resolve the dispute informally by contacting us at info@iscapp.io or by writing to ISC Legal Department, AEI Business Park, Building 3855, Office 201, Panama City, Panama. If a dispute is not resolved within 60 days, you or we may bring a formal proceeding.
14.3 Binding Arbitration
You and ISC agree that any dispute, claim, or controversy arising out of or relating to these Terms or the App will be settled by binding arbitration, administered in accordance with the rules of the ICC International Court of Arbitration, with proceedings conducted in Panama City, Panama, and conducted in the English or Spanish language at the election of the claimant.
14.4 Class Action Waiver
YOU AND ISC AGREE THAT EACH MAY BRING CLAIMS AGAINST THE OTHER ONLY IN YOUR OR ITS INDIVIDUAL CAPACITY AND NOT AS A PLAINTIFF OR CLASS MEMBER IN ANY PURPORTED CLASS OR REPRESENTATIVE PROCEEDING.
14.5 Opt-Out
You have the right to opt out of binding arbitration within 30 days of first accepting these Terms by sending written notice to:

15. Severability
If any provision of these Terms is found to be invalid, illegal, or unenforceable, such provision shall be modified to the minimum extent necessary to make it valid and enforceable. The remaining provisions shall remain in full force and effect.
16. Entire Agreement
These Terms, together with our Privacy Policy and any other legal notices or agreements published by us in connection with the App, constitute the entire agreement between you and ISC regarding your use of the App.

17. Waiver
No waiver of any term or condition of these Terms shall be deemed a further or continuing waiver of such term or condition. Any waiver must be in writing and signed by an authorized representative of ISC to be effective.
18. Assignment
You may not assign, transfer, or delegate these Terms or your rights and obligations hereunder without our prior written consent. We may assign these Terms without restriction, including in connection with a merger, acquisition, or sale of assets.

20. Acknowledgment and Consent

You have the right to refuse to provide your biometric identifier, but this will prevent you from using the App.
Notice to Washington Residents
In compliance with Washington State biometric privacy laws (RCW 19.375), we provide notice that we collect and use biometric data as described in Section 4.2. You may withdraw consent at any time by deleting your account.
